setoff (offset)<\/span><\/a> – a counter demand which a defendant holds against a plaintiff, arising out of a separate transaction than the plaintiff\u2019s cause of action, which serves to counterbalance the amount otherwise owed.<\/span><\/strong><\/p>\n

recoupment<\/span><\/a> – reduction of a plaintiff’s damages because of a demand by the defendant arising out of the same transaction (as opposed to a different transaction, which is a setoff).<\/strong><\/span><\/p>\n

Compulsory Counterclaim<\/span><\/a> – if a defendant fails to assert a compulsory counterclaim in the original action, that claim may not be brought in a later, separate action.<\/strong> See\u00a0Fed. R. Civ. P. 13(a)<\/a><\/strong>. [2]<\/span><\/p>\n

Permissive Counterclaim<\/span><\/a> – does not arise out of the same subject matter as the opposing party\u2019s claim or involves third parties over which the court does not have jurisdiction, and may be brought in a later. separate\u00a0action.<\/strong> See Fed.
