VALUE AND CONSIDERATION.<\/strong><\/span><\/p>\n<div id=\"content1\">\n<article class=\"node-5663312 node node-ucc en view-mode-full clearfix\">\n<header><\/header>\n<div class=\"field field-name-body field-type-text-with-summary field-label-hidden\">\n<div class=\"field-items\">\n<div class=\"field-item even\">\n<p class=\"Text-Level1\"><span style=\"font-size: 14pt;\">(a) An\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-104#Instrument\">instrument<\/a>\u00a0is\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-105#Issue\">issued<\/a>\u00a0or transferred for value if:<\/span><\/p>\n<p class=\"Text-Level2\" style=\"padding-left: 30px;\"><span style=\"font-size: 14pt;\">(1) the\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-104#Instrument\">instrument<\/a>\u00a0is\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-105#Issue\">issued<\/a>\u00a0or transferred for a\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-103#Promise\">promise<\/a>\u00a0of performance, to the extent the promise has been performed;<\/span><\/p>\n<p class=\"Text-Level2\" style=\"padding-left: 30px;\"><span style=\"font-size: 14pt;\">(2) the transferee acquires a security interest or other lien in the\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-104#Instrument\">instrument<\/a>\u00a0other than a lien obtained by judicial proceeding;<\/span><\/p>\n<p class=\"Text-Level2\" style=\"padding-left: 30px;\"><span style=\"font-size: 14pt;\">(3) the\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-104#Instrument\">instrument<\/a>\u00a0is\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-105#Issue\">issued<\/a>\u00a0or transferred as payment of, or as security for, an antecedent claim against any person, whether or not the claim is due;<\/span><\/p>\n<p class=\"Text-Level2\" style=\"padding-left: 30px;\"><span style=\"font-size: 14pt;\">(4) the\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-104#Instrument\">instrument<\/a>\u00a0is\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-105#Issue\">issued<\/a>\u00a0or transferred in exchange for a\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-104#Negotiableinstrument\">negotiable instrument<\/a>; or<\/span><\/p>\n<p class=\"Text-Level2\" style=\"padding-left: 30px;\"><span style=\"font-size: 14pt;\">(5) the\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-104#Instrument\">instrument<\/a>\u00a0is\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-105#Issue\">issued<\/a>\u00a0or transferred in exchange for the incurring of an irrevocable obligation to a third\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-103#Party\">party<\/a>\u00a0by the person taking the instrument.<\/span><\/p>\n<p class=\"Text-Level2\"><span style=\"font-size: 14pt;\">(b)&#8221;<span class=\"DefinedTerm\">Consideration<\/span>&#8221; means any consideration sufficient to support a simple contract. The\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-103#Drawer\">drawer<\/a>\u00a0or\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-103#Maker\">maker<\/a>\u00a0of an\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-104#Instrument\">instrument<\/a>\u00a0has a defense if the instrument is\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-105#Issue\">issued<\/a>\u00a0without consideration. If an instrument is issued for a\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-103#Promise\">promise<\/a>\u00a0of performance, the\u00a0<a href=\"https:\/\/www.law.cornell.edu\/ucc\/3\/3-105#Issuer\">issuer<\/a>\u00a0has a defense to the extent performance of the promise is due and the promise has not been performed.
