{"id":7646,"date":"2017-11-09T22:18:10","date_gmt":"2017-11-09T22:18:10","guid":{"rendered":"https:\/\/reunitethestates.org\/?page_id=7646"},"modified":"2017-11-25T07:25:03","modified_gmt":"2017-11-25T07:25:03","slug":"rescission-of-contract","status":"publish","type":"page","link":"https:\/\/reunitethestates.org\/?page_id=7646","title":{"rendered":"Rescission of Contract &#8211; a remedy to undo an unjust contract or to undo by mutual agreement"},"content":{"rendered":"<p class=\"_1mf _1mj\" style=\"text-align: center;\" data-offset-key=\"7oj6u-0-0\"><span style=\"font-size: 14pt;\"><strong><em>COUNTERING DECEPTIVE CONTRACTS<\/em><\/strong><\/span><\/p>\n<p class=\"_1mf _1mj\" data-offset-key=\"2k2bp-0-0\"><span style=\"font-size: 14pt;\"><strong>\u00a0 \u00a0 Historically, commoners were often duped into signing deceptive contracts: \u201c<span style=\"color: #ff0000;\">You should have read the fine print!<\/span>&#8221; may have then been a legal argument against a partially-illiterate person who was then held unjustly &#8220;to the letter of the law&#8221; in court.<\/strong><\/span><\/p>\n<p class=\"_1mf _1mj\" data-offset-key=\"2k2bp-0-0\"><span style=\"font-size: 14pt;\"><strong>\u00a0 \u00a0 Well,\u00a0<em>within law\u00a0<\/em>there are <a href=\"https:\/\/reunitethestates.org\/\/?page_id=6915\" target=\"_blank\" rel=\"noopener\">remedies<\/a> for this very reason\u00a0\u2014\u00a0<em>to protect people.\u00a0\u00a0<\/em>\u00a0Unfortunately, however, people have been hurt and abused by this sneaky way of \u201cdoing business,&#8221; which brings us to a type of <a href=\"https:\/\/reunitethestates.org\/\/?page_id=6915\" target=\"_blank\" rel=\"noopener\">remedy<\/a>\u00a0called a<\/strong><\/span><\/p>\n<p class=\"_1mf _1mj\" style=\"text-align: center;\" data-offset-key=\"2k2bp-0-0\"><span style=\"font-size: 18pt;\"><strong><span style=\"color: #ff00ff;\">rescission of contract<\/span>:<\/strong><\/span><\/p>\n<p class=\"_1mf _1mj\" style=\"text-align: center;\" data-offset-key=\"2k2bp-0-0\"><span style=\"font-size: 14pt;\"><strong>&#8220;The unmaking of a contract by a court that deems it to be unfair and unjust.&#8221;<\/strong>\u00a0[1]<\/span><\/p>\n<p style=\"text-align: center;\"><span style=\"font-size: 18pt;\"><strong><span style=\"color: #ff00ff;\">rescission<\/span>:<br \/>\n<\/strong><\/span><span style=\"font-size: 14pt;\">n. (17c)<\/span><\/p>\n<p style=\"text-align: left;\"><span style=\"font-size: 14pt;\"><strong>l.<\/strong> <strong>A party\u2019s unilateral unmaking of a contract for a legally sufficient reasons such as the other party\u2019s material breach, or a judgment rescinding the contract; VOIDANCE.\u00a0 *\u00a0 Rescission is generally available as a remedy or defense for a nondefaulting party and is accompanied by <a href=\"https:\/\/reunitethestates.org\/\/?page_id=6911\" target=\"_blank\" rel=\"noopener\">restitution<\/a> of any partial performance, thus restoring the parties to their precontractual positions. &#8211; aka <span style=\"color: #800000;\"><em>avoidance<\/em><\/span>.\u00a0 <\/strong><\/span><\/p>\n<p style=\"text-align: left;\"><span style=\"font-size: 14pt;\"><strong>2. An agreement by contracting parties to<\/strong><span class=\"text_exposed_show\"><strong>\u00a0discharge all remaining duties of performance and terminate the contract.\u00a0<\/strong>\u2014 Often misspelled either <em>recision<\/em> or <em>recission<\/em><strong>.<\/strong> &#8211; aka<\/span>\u00a0(in sense 2) <span style=\"color: #800000;\"><strong><em>agreement of rescission<\/em><\/strong><\/span>; <span style=\"color: #800000;\"><strong><em>mutual rescission<\/em><\/strong><\/span>; <span style=\"color: #800000;\"><strong><em>abandonment<\/em><\/strong><\/span>.\u00a0\u00a0rescissory, <em>adj<\/em>.<strong>&#8221;\u00a0<\/strong>[1]<\/span><\/p>\n<div class=\"text_exposed_show\">\n<p><span style=\"font-size: 14pt;\"><strong>\u00a0 \u00a0 \u00a0Excerpt from John D. Perillo&#8217;s\u00a0<em><a href=\"https:\/\/www.amazon.com\/Law-Contracts-Hornbook-John-Calamari\/dp\/0685881296\" target=\"_blank\" rel=\"noopener\">The Law of Contracts<\/a><\/em>:<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong>\u00a0 \u00a0 \u00a0\u201c<span style=\"color: #800000;\">The [UCC] takes cognizance of the fact that the term \u2018rescission\u2019 is often used by lawyers, courts and businessmen in many different senses; for example, termination of a contract by virtue of an option to terminate in the agreement, cancellation for breach and avoidance on the grounds of infancy or fraud. In the interests of clarity of thought -as the consequences of each of these forms of discharge may vary -the Commercial Code carefully distinguishes three circumstances. \u2018Rescission\u2019 is utilized as a term of art to refer to a mutual agreement to discharge contractual duties. \u2018Termination\u2019 refers to the discharge of duties by the exercise of a power granted by the agreement. \u2018Cancellation\u2019 refers to the putting an end to the contract by reason of a breach by the other party. Section 2-720, however, takes into account that the parties do not necessarily use these terms in this way.<\/span>\u201d <\/strong>[3]<\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong><span style=\"color: #ff00ff; font-size: 18pt;\">equitable rescission<\/span> &#8211; <\/strong>(1889)<strong> Rescission that is decreed by a <a href=\"https:\/\/reunitethestates.org\/\/?page_id=3987\" target=\"_blank\" rel=\"noopener\">court of equity<\/a>.<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong><span style=\"color: #ff00ff; font-size: 18pt;\">express rescission<\/span> &#8211; A straightforward, explicit agreement of the parties to a <a href=\"https:\/\/reunitethestates.org\/\/?page_id=8143\" target=\"_blank\" rel=\"noopener\">contract<\/a> that it will no longer bind either of them.\u00a0 *\u00a0 The consideration for the promise\u00a0<\/strong><\/span><span style=\"font-size: 14pt;\"><strong>of each party is the renunciation by the other of his rights under the contract.<\/strong><\/span><\/p>\n<p><span style=\"font-size: 14pt;\"><strong><span style=\"color: #ff00ff; font-size: 18pt;\">legal rescission<\/span> &#8211; <\/strong>(1849)<strong> 1.
