\u00a0 \u00a0Have you ever thought about the fact that\u00a0most County governments<\/em>\u00a0became established several\u00a0years<\/em>\u00a0\u2013 even\u00a0decades<\/em>\u2013\u00a0<\/em>before\u00a0<\/em>States were formed? \u00a0For\u00a0<\/em>one of\u00a0many<\/em>\u00a0examples,\u00a0<\/em>Morton County<\/a>\u00a0<\/strong>(North Dakota<\/a>) <\/em>[1]\u00a0was originally created in 1873.<\/strong>[2][3]\u00a0North Dakota<\/a>, however, did not become a State until years later in 1889! \u00a0When the North Dakota State Constitution<\/a>\u00a0became adopted,\u00a0Article VII Section 3<\/a>\u00a0defined counties such as\u00a0Morton<\/a>,\u00a0Emmons<\/a>,<\/strong>\u00a0and<\/strong><\/em> others as \u201cPolitical Subdivisions\u201d.\u00a0 The state constitution then adopted\u00a0<\/em>them into the State \u201cas they now exist\u201d:<\/em><\/strong>\u00a0\u201cThe several counties of the state of North Dakota as they now exist are hereby declared to be counties of the state of North Dakota<\/span>.\u201c<\/strong>[5]\u00a0\u00a0Due to the fact that the several counties throughout\u00a0Dakota Territory<\/a>\u00a0<\/strong>(1861-1889)\u00a0<\/em>were<\/strong>\u00a0previously organized as\u00a0Corporations\u00a0<\/a><\/strong>(see below)<\/em>, counties continued<\/em> to operate in the manner that corporations operate according to U.S. law.\u00a0 \u00a0What is the purpose of a corporation?<\/strong><\/p>\n

\u00a0 \u00a0 1919 Supreme Court ruling\u00a0<\/strong>Dodge v. Ford Motor Co\u00a0<\/a>170 NW 668 (Mich 1919)<\/a><\/em>\u00a0instituted into\u00a0rule of<\/em>law<\/em>:\u00a0\u201cThe purpose of a corporation is to make a profit for the shareholders, but a court will not interfere with decisions that come under the business judgment of directors.<\/span>\u201c <\/strong>[4]<\/p>\n

\u00a0 \u00a0 \u00a0According to the Small Business Administration website<\/a>, “If you are conducting business transactions outside of your state, such as borrowing money, leasing equipments, establishing contracts and selling goods, you need to comply with the<\/span> Uniform Commercial Code (UCC)<\/a>.<\/span>“<\/strong><\/span><\/p>\n
